Intended structure for review
- Service description — operational rounding and oversight software; explicitly not a medical device, emergency service, or clinical decision tool.
- Accounts & facility responsibilities — accurate configuration, workforce account hygiene, device policy, appropriate clinical oversight.
- Subscription & billing — $45 per bed per month, wristbands included; rate locked for the agreement term; trial terms; suspension for non-payment with data preserved.
- Hardware bundle — wristband supply terms, single-use expectations, safety guidance, and liability allocation for physical components. LEGAL_REVIEW_REQUIRED (product liability + insurance).
- Data ownership — the facility owns its data; export on off-boarding; our license limited to providing the service.
- Acceptable use — see AUP.
- Warranties & disclaimers — no clinical-outcome or compliance guarantees; service-level commitments as separately stated.
- Liability, indemnity, termination, governing law — for counsel.
